13th Month Salary

Payroll Cycle in Armenia

Salaries in Armenia are paid monthly, by bank transfer, and must be paid in Armenian Dram (AMD) — Armenia’s currency regulations make AMD the mandatory unit for domestic salary payments, with only narrow, non-payroll-related exceptions. This means payroll for local employees needs to run out of a local, AMD-denominated Armenian bank account.

Company Registration in Armenia

When establishing a business presence in Armenia to run local payroll, foreign companies typically choose from the following structures, all registered through the Agency for the State Register of Legal Entities under the Ministry of Justice:

Limited Liability Company (LLC)

The default, lowest-friction vehicle for most foreign subsidiaries. Requires just 1 or more founders (up to 49), with no local-director or local-shareholder requirement and no statutory minimum capital in most cases. Registration is electronic and generally completed within a few business days.

Joint Stock Company (Closed or Open)

Suited to larger enterprises or those planning outside investment. A Closed Joint Stock Company (CJSC) caps shareholders at 50 with a confidential shareholder list; an Open Joint Stock Company (OJSC) allows unlimited, publicly tradeable shares. Both require more formal board governance and audited annual financial statements than an LLC.

Branch Office

An extension of the foreign parent company rather than a separate legal entity, so the parent remains liable for the branch’s obligations. Can conduct full commercial activity, including running local payroll, without creating a new legal entity.

Representative Office

Limited to market research and promotional activity on behalf of the foreign parent — it cannot conduct income-generating commercial activity, which makes it unsuitable for a company that intends to hire staff and run full local payroll.

Setting up and maintaining any of these structures — including the ongoing corporate compliance obligations that come with them — requires dedicated legal and administrative resources. Employer Registration for Payroll in Armenia

A Taxpayer Identification Number (TIN) is issued automatically by the State Revenue Committee (SRC) upon incorporation. Beyond simple incorporation, a company must separately activate its SRC taxpayer account and register as an employer before it can lawfully pay any salaries.

New hires are registered with the SRC through its online system. Since Armenia’s Digital Employment Contract System became available in 2025, e-signing an employment contract on the platform can automatically generate the corresponding employee registration with the SRC, streamlining what were previously two separate steps. Mandatory use of the digital system was postponed to 1 July 2027, though voluntary adoption is available now. Opening a corporate bank account requires the company’s registration documents, charter, director identification, and beneficial-ownership disclosure, with foreign parent-company documents requiring notarization and certified translation.

Payroll Taxes in Armenia

Personal Income Tax in Armenia

Armenia applies a flat personal income tax rate of 20% on employment income, including salary, bonuses, commissions, and fees, withheld by the employer at source.

Tax Reporting

Employers consolidate income tax withholding along with pension, health insurance, and military stamp duty contributions into a single monthly filing and payment submitted to the State Revenue Committee, due by the 20th of the following month. Rather than a separate employer-filed annual reconciliation, Armenia’s system uses the cumulative monthly employer filings to pre-populate each employee’s own individual annual income declaration with the SRC — the standard filing deadline for that declaration is 1 May of the following year, though this has been temporarily extended to later in the year during Armenia’s ID-card and digital-systems transition; Mercans confirms the current deadline for each tax year.

Social Security and Payroll Contributions in Armenia

Armenia’s structure is distinctive: there is no separate employer-paid social security tax. Pension, health insurance, and the military stamp duty are all funded through withholdings from the employee’s salary, with the employer acting purely as the withholding and remittance agent.

The mandatory funded pension applies to Armenian and foreign citizens born after 1 January 1974. Employees hired before 1 July 2014, and public-sector employees, cannot opt out of the pension scheme.

Termination Payroll in Armenia

On termination, an employee’s final settlement — including outstanding wages and compensation for any unused annual leave — is generally due on the last working day. Severance, where owed, depends on the grounds for termination: workforce reduction generally carries 1 month’s average salary, while termination for incapacity, failure to meet job requirements, or a change to essential contract terms scales with tenure, from 10 times the average daily wage for under 1 year of service up to 44 times the average daily wage for 15 or more years of service. Where an employer fails to give proper notice, it separately owes compensation equal to one average daily salary for each day of notice shortfall.
